Non-Convertible Debentures (NCDs)
In line with our funding strategy and financial structuring, the Company has previously issued Non-Convertible Debentures (NCDs) through private placement to institutional and eligible investors. These instruments were structured in compliance with applicable provisions of the Companies Act, 2013, SEBI regulations (where applicable), and RBI guidelines governing NBFCs. Compulsorily Convertible Preference Shares (CCPS)
The Company has also issued Compulsorily Convertible Preference Shares (CCPS) to strategic investors in accordance with Section 55 of the Companies Act, 2013 and relevant rules. These CCPS are structured to convert into equity shares within a defined period and as per the terms of issue. Further CCPS holders are also entitled to fixed dividend per annum during the tenure of the instrument. Compliance and Governance
All past issuances have been duly approved by the Board of Directors and Shareholders wherever applicable, and requisite filings have been completed with the Registrar of Companies and other regulatory bodies.
